By accessing or using ChipIt ("the Service"), operated by ZuluLabs, you agree to be bound by these Terms and Conditions. If you do not agree to all of these terms, you may not access or use the Service.

2. Description of Service

ChipIt is a project management platform that provides tools for task management, time tracking, team collaboration, and project reporting. The Service is available through our website at chipit.pro.

3.2 Account Security

You are responsible for safeguarding your account password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account if you violate these terms, engage in fraudulent activity, or if your account has been inactive for an extended period.

4. Subscriptions and Payments

4.1 Free and Paid Plans

ChipIt offers both free and paid subscription plans. Paid plans provide access to additional features and capabilities as described on our pricing page.

4.2 Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annually). Payment is processed through Stripe. You agree to provide valid payment information and authorize us to charge your payment method for the applicable subscription fees.

4.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, your access to paid features will continue until the end of your current billing period. No refunds will be provided for partial billing periods.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to violate any applicable laws
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Scrape, data mine, or otherwise extract data from the Service by automated means
• Impersonate another person or entity
• Use the Service to send spam, unsolicited messages, or harass others
• Reverse engineer, decompile, or disassemble any aspect of the Service

6. Intellectual Property

6.1 Our Property

The Service, including its design, features, code, and content (excluding user content), is owned by ZuluLabs and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written consent.

6.2 Your Content

You retain ownership of any content you create, upload, or submit through the Service (including projects, tasks, comments, and files). By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

7. Data and Privacy

Your use of ChipIt is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

8. Availability and Support

We strive to maintain the Service available 24/7. However, we do not guarantee uninterrupted access and may perform maintenance or updates that temporarily affect availability. We will make reasonable efforts to notify users of planned downtime.

9. Limitation of Liability

To the maximum extent permitted by law, ChipIt and ZuluLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify and hold harmless ChipIt, ZuluLabs, and their officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Service or violation of these terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Spain.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new terms.
